Terms of Service

1. User Licence

Proofly ("the Platform") is a marketplace where creators sell and buyers purchase 3D model files (STL, GLB, OBJ, 3MF, FBX and ZIP packages). By creating an account or using the Platform you agree to these Terms.

Upon completing a purchase, the buyer receives a non-exclusive, non-transferable personal licence to use the downloaded file for personal or commercial purposes as stated on the individual listing. The licence covers the buyer only — it does not authorise redistribution, resale, or sublicensing of the file or derivatives of it to third parties.

Sellers retain full ownership of their intellectual property. Uploading a model to Proofly grants the Platform a limited licence to host, display, and process the file for the purpose of operating the marketplace (including generating preview thumbnails and running the HiddenMark watermarking pipeline).

2. Payment Terms

Proofly operates on a zero-commission model for creators: the seller receives 100% of the model price they set.

Buyers pay a flat 4 zł buyer service fee per transaction, charged in addition to the model price. This fee is Proofly's sole revenue from sales and is used to cover payment processing, platform infrastructure, and anti-piracy tooling. The fee is disclosed clearly at checkout and is non-negotiable.

Prices may be displayed in the buyer's selected currency for convenience; the charge is processed in the listing's settlement currency. Currency conversion rates are provided for reference only; the settlement amount is definitive.

Because purchases are digital and delivered immediately upon payment, sales are generally final except where required by applicable consumer protection law or in cases of a faulty or materially misrepresented file (e.g. the listing claims STL but the file is corrupted or a different format). Refund requests must be submitted within 14 days of purchase.

Creator payouts are processed via Stripe Connect and are subject to Stripe's own terms and payout schedules. Proofly is not responsible for delays caused by Stripe's identity verification or banking processes.

3. HiddenMark™ IP Ownership

HiddenMark™ is Proofly's proprietary steganographic watermarking technology. Every paid download on the Platform is automatically embedded with a unique HiddenMark code tied to the specific purchase record. The watermark is placed inside the mesh geometry and survives format conversion, re-export, and minor edits.

The HiddenMark technology, including the embedding algorithm, verification tool, and associated database infrastructure, is the exclusive intellectual property of Proofly. No buyer or seller acquires any rights to the HiddenMark system by using the Platform.

The HiddenMark code embedded in a purchased file identifies the buyer and the transaction. This data may be used by Proofly or the creator to investigate suspected copyright infringement. Attempting to remove, alter, or circumvent a HiddenMark watermark constitutes a breach of these Terms and may constitute a violation of applicable copyright law.

4. Prohibited Use

You may not use the Platform to:

• •Upload, sell, or distribute files that infringe third-party intellectual property rights.
• •Upload content that is illegal, harmful, defamatory, obscene, or otherwise objectionable under applicable law.
• •Redistribute, resell, or sublicense purchased files outside the scope of the licence granted on the listing.
• •Attempt to remove, strip, modify, or defeat any HiddenMark watermark embedded in a file.
• •Scrape, crawl, or systematically harvest data from the Platform without prior written permission.
• •Create fake accounts, manipulate reviews, or engage in any deceptive conduct.
• •Use the Platform to distribute malware, exploit code, or otherwise harmful software.
• •Circumvent access controls, payment systems, or security mechanisms of the Platform.

Proofly may remove listings, suspend accounts, and pursue legal remedies for violations of these prohibitions without prior notice.

5. Limitation of Liability

The Platform is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. Proofly does not warrant that the Platform will be error-free, uninterrupted, or free of harmful components.

To the maximum extent permitted by applicable law, Proofly and its affiliates, officers, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with:

• •The purchase, download, or use of any 3D model file obtained through the Platform.
• •Any print failures, material waste, or equipment damage resulting from using a purchased file.
• •Temporary unavailability of the Platform or delays in payout processing.
• •Unauthorised access to or alteration of your account.

Proofly's total aggregate liability to any user for any claim arising under these Terms shall not exceed the greater of (a) the total fees paid by that user to Proofly in the 12 months preceding the claim, or (b) 50 PLN.

6. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Poland, without regard to its conflict-of-law provisions. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Poland.

If you are a consumer resident in the European Union, you may also have the right to use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

We may update these Terms from time to time. We will notify users of material changes by posting a notice on the Platform. Continued use after changes take effect constitutes acceptance of the revised Terms.
